These terms and conditions (“Terms”, “Agreement”) are a legally binding agreement between Zupimars International Private Limited, a company incorporated under the laws of India (“Zupimars”, “us”, “we” or “our”), and you (“User”, “you” or “your”).

This Agreement sets forth the comprehensive terms and conditions governing your access to and use of the products, website, applications, and all associated services made available by Zupimars and any of its subsidiaries or affiliated companies (collectively, the “Services”). 2. Account Registration and User Responsibilities

You agree to provide accurate, current, complete, and truthful information during the registration process and maintain and promptly update your account data to keep it accurate and complete. Failure to provide accurate information constitutes a breach of this Agreement, which may result in immediate termination of your account.

You are solely responsible for maintaining the confidentiality and security of your account credentials, including your password, and for restricting access to your account. You agree to accept responsibility for all activities that occur under your account, whether or not such activities were authorized by you. You must immediately notify Zupimars of any unauthorized use of your account or any other breach of security.

2.3 Prohibited Activities

You agree not to use the Services for any unlawful purpose or any purpose prohibited by this Agreement. Prohibited activities include, but are not limited to: violating any applicable laws or regulations; transmitting any harmful, illegal, or abusive material; attempting to interfere with the integrity or security of the Services; reverse engineering any portion of the Services; or harvesting or collecting information about other users without their consent.

3. Terms of Sale, Pricing, and Payment

3.1 Order Acceptance and Formation of Contract

All orders placed through the Services are subject to acceptance by Zupimars. We reserve the right to refuse or cancel an order for any reason, including limitations on quantities available for purchase, inaccuracies in product or pricing information, or issues identified by our fraud prevention department. All purchases are made pursuant to a shipping contract. The risk of loss and title for Products pass to you upon our delivery to the carrier. We rely solely on the carrier’s confirmation of delivery as fulfillment of our obligation. 4. Intellectual Property, AI-Generated Content, and Licenses

4.1 Ownership and Protection

The Services are protected by copyright, trademark, patent, and other proprietary rights and laws of both the Republic of India and applicable foreign countries, including international conventions. 4.2 AI-Generated Images and Visual Content Disclaimer

This is a crucial element of our marketing strategy. You acknowledge and accept the following limitations regarding AI-Generated Content:

• Conceptual Representation: AI-Generated Content serves as a conceptual depiction and artistic interpretation of our products, ingredients, or wellness concepts.
• Lack of Precision: These visuals may not reflect the exact real-world appearance, precise details, accurate scale, precise color, or actual packaging of Products.

5.3 Consultation and Safety Warning

Discontinue use immediately and consult a healthcare professional if you experience any unexpected or adverse reaction, intolerance, or allergy. Keep all Products out of reach of children.

5.4 AI-Guided Consultation Disclaimer

Any Artificial Intelligence-driven recommendation or consultation feature provided by Zupimars is based solely on algorithmic data processing of general Ayurvedic principles and user-input data. Such features provide **informational guidance only** and do not constitute a professional medical or therapeutic consultation. You must exercise due diligence and independent judgment when relying on such automated guidance.

6. Limitation of Liability and Indemnification

6.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ZUPIMARS INTERNATIONAL PRIVATE LIMITED, NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• (i) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICES OR PRODUCTS;
• (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES;
• (iii) ANY CONTENT OBTAINED FROM THE SERVICES;
• (iv) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, INCLUDING USER CONTENT;
• (v) RELIANCE ON ANY AI-GENERATED CONTENT OR AI-GUIDED CONSULTATION; AND
• (vi) ANY HEALTH EFFECTS OR OUTCOMES ARISING FROM THE USE OR MISUSE OF THE PRODUCTS.

ZUPIMARS’ TOTAL CUMULATIVE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, OR OTHERWISE, SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ZUPIMARS FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) FIFTY US DOLLARS (US $50.00).

6.2 Indemnification

You agree to defend, indemnify, and hold harmless Zupimars International Private Limited and its directors, officers, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including, without limitation, reasonable legal and accounting fees) arising out of or in any way connected with:

• (i) Your access to or use of the Services or Products;
• (ii) Your User Content;
• (iii) Your breach of any representation, warranty, or covenant contained in this Agreement;
• (iv) Your violation of any third-party right, including without limitation any intellectual property, privacy, or proprietary right; and
• (v) Any health issues or adverse reactions resulting from your consumption or application of the Products.

7. Term, Termination, and Survival

7.1 Term of Agreement

This Agreement commences on the date you first use the Services and continues until terminated as set forth herein.

7.2 Termination by Zupimars

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation, a breach of the Terms. This includes, but is not limited to, fraudulent activity, violation of the Prohibited Activities clause, or providing false or misleading information.

7.3 Effect of Termination

Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services. All provisions of the Terms which by their nature should survive termination (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability) shall survive termination.

8. Governing Law, Dispute Resolution, and Jurisdiction

8.1 Governing Law

These Terms shall be governed and construed in accordance with the internal substantive laws of the **Republic of India**, without regard to its conflict of law provisions.

8.2 Binding Arbitration (for Users Outside India)

For users located outside of India (including US, Canada, Dubai, Japan): Any dispute, controversy, or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered under the rules of a mutually agreed-upon international arbitration institution. The arbitration shall take place in **Haridwar, Uttarakhand, India**, and the language of the arbitration shall be English. The decision of the arbitrator shall be final and binding.

8.3 Exclusive Jurisdiction (for Users Within India)

For users located within the Republic of India: Any dispute arising out of or in connection with these Terms, which cannot be resolved through good faith negotiation, shall be subject to the exclusive jurisdiction of the competent courts located in **Haridwar, Uttarakhand**, India.

9. Miscellaneous Provisions

9.1 Entire Agreement and Severability

These Terms, along with the Privacy Policy and Shipping and Returns Policy, constitute the entire agreement between Zupimars and you concerning the use of the Services, superseding any prior agreements. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision.

9.2 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. No single or partial exercise of any right or power under this Agreement shall preclude further exercise of that or any other right or power.

9.3 Changes to These Terms

If a revision is deemed material, we will make reasonable efforts to provide at least 30 days’ notice prior to any new terms taking effect. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
